Founded in 1862, John Hancock Life Insurance Company, a subsidiary of Toronto-based Manulife Financial Corporation, has been providing junior capital financing solutions for U.S. middle market companies for decades. In 2000, the Hancock Capital Management team (HCM) was established to spearhead these activities. Manulife Capital (ManCap) was established in 1998 to make minority equity and subordinated debt investments in mid-market companies located in Canada and the United States. In 2018, the HCM and ManCap investment teams were combined to form Manulife Investment Management Private Markets (MIMPM). Today, MIMPM handles over $5.0 billion of capital for Manulife and its clients, which include insurance companies, endowments, corporate pension plans, family offices and high net worth individuals.
Job Profile Summary:
The Director, Private Equity Funds will join a team that oversees a diversified portfolio of mezzanine debt, equity co-investments and private equity fund commitments. The incumbent is responsible for supporting all aspects of the investment process including screening investment proposals, performing due diligence, preparing investment recommendations, coordinating legal, tax and accounting reviews, and closing & monitoring investments during their holding period.
Responsibilities:
Identify and evaluate new investment opportunities for their risks and likely returns, driven principally by a financial analysis of the company and/or investment manager. Take a leadership role in conducting due diligence on investments. The incumbent will be a principal author of a 20-30-page investment report prepared in conjunction with senior and junior members of the investment team. This report will include a detailed description of the companys/investment managers business, the core strengths and risks of the investment opportunity, an industry overview and an analysis on the company or investment managers ability to create value for investors. The incumbent will be responsible for presenting the investment thesis to the Manulife/John Hancock private equity funds team and, ultimately, the investment committee of Manulife/John Hancock.
Prepare quarterly and annual portfolio company reports of the performance of companies and private equity funds in which we have invested. These reports include detailed financial statement analysis of recent performance and include updates on operational, industry and other portfolio developments.
Represent Manulife/John Hancock at board of director meetings for portfolio companies, and advisory board meetings for private equity funds, in which we have invested. As Manulife/John Hancocks representative, the candidate must be well-prepared prior to attending these meetings and should expect to make contributions that reflect our perspective on financial and operational developments and strategies being deployed.
Required to travel and will represent Manulife/John Hancock at management presentations and be expected to actively participate in the due diligence process when evaluating new investment opportunities.
Participate in marketing for new investment opportunities by developing relationships with investment banks, placement agents, private equity firms and other deal sources by following a disciplined outbound calling effort and by attending industry conferences.
Director candidates are expected to be a key member of the deal team that identifies, measures and mitigates investment risks across the investment portfolio.
Knowledge/Skills/Proficiencies:
Bachelors degree in business, finance or economics.
Minimum of four years experience in underwriting private equity investments, leveraged finance at a commercial bank or investment management firm.
Familiarity with corporate valuation methodologies which support portfolio company acquisition multiples and carrying values.
Understanding of financial statements, in particular the analysis of private-equity-fund financial statements, and strong financial analysis skills.
Ability to work independently with a wide variety of people, including internal and external parties, and meet deadlines while managing several assignments.
Strong verbal and written communication skills to effectively communicate with senior management.
Recommend investment opportunities to the Portfolio Managers and Investment Committees of the Mezzanine, Equity Co-Investment, and Private Equity Funds investment programs.
